1. Acceptance of Terms

By accessing or using vLedger (the "Platform"), you agree to be bound by these Terms & Conditions (the "Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and vLedger. By using the Platform, you confirm that you have the legal capacity to enter into this agreement.

2. Description of Services

vLedger provides a cloud-based invoice and inventory management platform that allows users to:

• Create, manage, and track GST-compliant invoices and bills.
• Manage inventory, stock levels, and product catalogs.
• Maintain client and vendor databases.
• Generate business reports and analytics.
• Generate and manage E-Invoices and E-Way Bills (GST compliance).
• Create and manage quotations and purchase orders.
• Manage barcodes and QR codes for products.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without prior notice.

3. User Obligations

As a user of vLedger, you agree to:

Compliance with Laws

• Comply with all applicable Indian laws, including the IT Act, 2000, GST Act, 2017, and Income Tax Act.
• Not use the Platform for any illegal or unauthorized purpose.
• Not attempt to disrupt or compromise the security of the Platform.

Data Accuracy

• Provide accurate, complete, and up-to-date information.
• Maintain the confidentiality of your account credentials.
• Notify us immediately of any unauthorized access or security breach.

4. Account Registration

To use our Platform, you must register for an account. You agree to:

• Provide accurate and complete information during registration.
• Update your information promptly if any changes occur.
• Maintain the security and confidentiality of your password.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to refuse registration or terminate accounts at our discretion.

5. Intellectual Property Rights

All content on the Platform, including but not limited to text, graphics, logos, icons, images, software, and code, is the property of vLedger and is protected by Indian copyright laws.

Your Content

You retain ownership of all data and content you upload to the Platform (e.g., invoices, client data, product information). By using the Platform, you grant us a non-exclusive, royalty-free license to process, store, and display your content solely for the purpose of providing our services.

Restrictions

• You may not copy, modify, distribute, or reverse-engineer any part of the Platform.
• You may not use our trademarks, logos, or branding without prior written consent.
• You may not scrape or extract data from the Platform without permission.

6. Fees & Payment

Subscription Plans

• Free Plan: Limited features with usage restrictions.
• Professional Plan: Paid subscription with advanced features.
• Custom Plan: Tailored solutions for enterprise needs.

Payment Terms

• Fees are payable in advance for the subscription period.
• All fees are inclusive of GST as applicable under Indian tax laws.
• We accept payments via net banking, credit/debit cards, UPI, and other approved payment methods.
• Failure to pay may result in suspension or termination of services.

Refund Policy

• All subscription payments are non-refundable.
• Pro-rata refunds may be considered for exceptional cases at our sole discretion.
• Refund requests must be submitted in writing within 7 days of payment.

7. Tax Compliance

As a user of vLedger, you are solely responsible for:

• Ensuring the accuracy of all tax-related information entered into the Platform.
• Compliance with GST regulations, including timely filing of returns.
• Maintaining proper records as required by law.
• Liability for any taxes, penalties, or interest arising from non-compliance.

8. Termination & Suspension

We reserve the right to suspend or terminate your account at any time for:

• Violation of Terms: Breach of any provision of these Terms.
• Non-Payment: Failure to pay subscription fees when due.
• Fraudulent Activity: Suspected fraud or misuse of the Platform.
• Legal Compliance: To comply with legal or regulatory requirements.
• Security: To protect the security and integrity of the Platform.

Upon termination, you will lose access to your account and data. We may retain your data for legal and regulatory purposes as required by Indian law.

9. Limitation of Liability

To the maximum extent permitted by Indian law:

• vLedger is not liable for any indirect, incidental, special, or consequential damages.
• Our total liability for any claim arising from these Terms is limited to the amount you paid us in the preceding 12 months.
• We do not guarantee that the Platform will be error-free, uninterrupted, or secure.
• We are not responsible for any data loss, business interruption, or financial loss.

10. Indemnification

You agree to indemnify and hold vLedger, its directors, employees, and affiliates harmless from:

• Any claims, damages, or losses arising from your use of the Platform.
• Your violation of these Terms or applicable laws.
• Your infringement of any third-party rights.
• Any disputes arising from your business activities conducted using the Platform.

11. Dispute Resolution

Informal Resolution

Before initiating any legal proceedings, you agree to attempt to resolve any disputes informally by contacting us at legal@vledger.in.

Arbitration

Any disputes arising from these Terms shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Varanasi, India, in the English language.

Jurisdiction

The courts of Varanasi, Uttar Pradesh, India shall have exclusive jurisdiction over any matters arising from these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any legal action arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Varanasi, Uttar Pradesh, India.

13. Amendments

We reserve the right to modify these Terms at any time. We will notify you of significant changes by:

• Posting the updated Terms on the Platform.
• Sending an email notification to your registered email address.
• Displaying a notice on the Platform dashboard.

Your continued use of the Platform after the changes constitutes your acceptance of the updated Terms.
